4.1 No Guaranteed Outcomes
GrowMatic does not guarantee:
- Search engine rankings
- Traffic increases
- Revenue growth
- Return on investment
- Specific performance metrics
4.2 Search Engine Liability Exclusion
GrowMatic explicitly disclaims liability for:
- Algorithm updates and changes
- Manual or automated penalties
- Ranking fluctuations
- Revenue losses from ranking changes
- Market condition changes
- Competitor actions
- Changes in search engine policies
- Technical issues beyond our control
5. PAYMENT AND BILLING
5.1 Payment Terms
- Invoices due within specified payment terms
- Late payments subject to 1.5% monthly interest
- Service suspension for accounts 30+ days overdue
- Collection costs borne by client
5.2 Performance-Based Billing
- Revenue sharing calculated per agreement

6. CLIENT OBLIGATIONS AND WARRANTIES
6.1 Client Warranties
Client warrants and represents that they have:
- Authority to enter agreement
- Ownership of website and content
- Compliance with applicable laws
- Accuracy of provided information
6.2 Client Responsibilities
Client agrees to maintain:
- Timely implementation of recommendations
- Website maintenance and security
- Access provision to necessary accounts
- Prompt communication and feedback
- Compliance with search engine guidelines
7. COMPREHENSIVE LIABILITY LIMITATIONS
7.1 Maximum Liability
Company’s liability is limited to the lesser of:
- Fees paid in previous 3 months
- $5,000 USD
