4. PERFORMANCE AND RESULTS DISCLAIMER

4.1 No Guaranteed Outcomes

GrowMatic does not guarantee:

  • Search engine rankings
  • Traffic increases
  • Revenue growth
  • Return on investment
  • Specific performance metrics

4.2 Search Engine Liability Exclusion

GrowMatic explicitly disclaims liability for:

  • Algorithm updates and changes
  • Manual or automated penalties
  • Ranking fluctuations
  • Revenue losses from ranking changes
  • Market condition changes
  • Competitor actions
  • Changes in search engine policies
  • Technical issues beyond our control

5. PAYMENT AND BILLING

5.1 Payment Terms

  • Invoices due within specified payment terms
  • Late payments subject to 1.5% monthly interest
  • Service suspension for accounts 30+ days overdue
  • Collection costs borne by client

5.2 Performance-Based Billing

  • Revenue sharing calculated per agreement

6. CLIENT OBLIGATIONS AND WARRANTIES

6.1 Client Warranties

Client warrants and represents that they have:

  • Authority to enter agreement
  • Ownership of website and content
  • Compliance with applicable laws
  • Accuracy of provided information

6.2 Client Responsibilities

Client agrees to maintain:

  • Timely implementation of recommendations
  • Website maintenance and security
  • Access provision to necessary accounts
  • Prompt communication and feedback
  • Compliance with search engine guidelines

7. COMPREHENSIVE LIABILITY LIMITATIONS

7.1 Maximum Liability

Company’s liability is limited to the lesser of:

  • Fees paid in previous 3 months
  • $5,000 USD

7.2 Excluded Damages

  • Indirect or consequential damages

10. TERMINATION AND CANCELLATION

Either party may terminate:

16. ENTIRE AGREEMENT

16.1 Complete Understanding
